In case\u00a0the Company inspects and\u00a0determines\u00a0that the\u00a0device<\/span><span data-contrast=\"auto\">\u00a0<\/span><span data-contrast=\"auto\">is defective due to the\u00a0device&#8217;s\u00a0own defects, the Company will replace\u00a0such device\u00a0with a new one<\/span><span data-contrast=\"auto\">,<\/span><span data-contrast=\"auto\">\u00a0free of charge. This warranty does not cover damages\u00a0caused by the user&#8217;s actions or omissions, including but not limited to dropping, impact, exposure to water, moisture or other liquids, use for purposes other than those specified in the user manual, as well as damages\u00a0caused by external causes, such as accidents, storms or\u00a0Force\u00a0Majeure, use in inappropriate environments, modifications or repairs by persons not authorized by the Company. The Company may take two (2) days or more to resolve general issues from the date the issue is reported, provided that this issue is related to\u00a0the\u00a0user&#8217;s platform, hardware, or network.\u00a0The Company reserves the right to consider that the issue has been resolved once the Company has verified the information and provided evidence demonstrating that the Company&#8217;s platform is functioning properly, and the\u00a0user\u00a0accepts and agrees with\u00a0the consideration and resolution of the issues in accordance with the Company&#8217;s specified terms and conditions.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13,&quot;335559685&quot;:360}\">\u00a0<\/span><\/p><p>\u00a0<\/p><p><b><span data-contrast=\"auto\">3. The Company reserves the right\u00a0not to\u00a0be liable for any damage beyond\u00a0general\u00a0damages<\/span><span data-contrast=\"auto\">\u00a0<\/span><span data-contrast=\"auto\">caused by a\u00a0Zortout\u00a0System error. Processing of\u00a0Personal\u00a0Data<\/span><\/b><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13}\">\u00a0<\/span><\/p><p>\u00a0<\/p><p><span data-contrast=\"auto\">Zortout\u00a0agrees to\u00a0comply with\u00a0the Personal Data Protection Law in relation to the Personal Data that the Data Controller has or will\u00a0transmit\u00a0to\u00a0Zortout\u00a0and will not\u00a0Process the Personal Data of the Data Controller in any way except as instructed in writing by the Data Controller.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13}\">\u00a0<\/span><\/p><p><span data-ccp-props=\"{}\">\u00a0<\/span><\/p><p><b><span data-contrast=\"auto\">Section 3.\u00a0Obligations of the Data Controller<\/span><\/b><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13}\">\u00a0<\/span><\/p><p>\u00a0<\/p><p><span data-contrast=\"auto\">The\u00a0Data\u00a0Controller agrees to do the following:<\/span><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13}\">\u00a0<\/span><\/p><p>\u00a0<\/p><p><span data-contrast=\"auto\">(3.1) Considering the nature, context, scope and purpose of the processing of Personal Data, including assessing the risks and likelihood of occurrence and the severity of the impact on the rights and freedoms of the Data Subject, the Data Controller agrees to provide appropriate security measures for Personal Data, which include administrative safeguards, technical safeguards and physical safeguards, to ensure that a level of security is appropriate to the risk, and such measures are in accordance with Section 37 (1) of the Personal Data Protection Law of Thailand<\/span><span data-contrast=\"auto\">.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13,&quot;335559991&quot;:540}\">\u00a0<\/span><\/p><p>\u00a0<\/p><p><span data-contrast=\"auto\">(3.2) The Data Controller agrees to establish the Personal Data security standards pursuant to Section 3.1 above in the Data Controller&#8217;s data protection policy in proportion to the extent necessary for the Personal Data processing activities.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13,&quot;335559991&quot;:540}\">\u00a0<\/span><\/p><p>\u00a0<\/p><p><span data-contrast=\"auto\">(3.3) The Data Controller agrees to provide appropriate security measures to ensure that Personal Data is processed only to the extent necessary, including the amount of Personal Data collected, the scope, the retention period and access to the data. Such measures shall ensure that Personal Data shall not be interfered by other parties.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13,&quot;335559991&quot;:540}\">\u00a0<\/span><\/p><p>\u00a0<\/p><p><span data-contrast=\"auto\">(3.4) The Data Controller acknowledges that Personal Data means information about a natural person that can identify the individual, either directly or indirectly. The Data Controller will take an action in accordance with the Personal Data Protection Law to ensure that the processing of Personal Data is appropriate and lawful.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13,&quot;335559991&quot;:540}\">\u00a0<\/span><\/p><p>\u00a0<\/p><p><b><span data-contrast=\"auto\">Section 4.\u00a0Obligations of Zortout<\/span><\/b><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13}\">\u00a0<\/span><\/p><p>\u00a0<\/p><p><span data-contrast=\"auto\">Zortout\u00a0agrees to\u00a0proceed\u00a0as follows:<\/span><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13}\">\u00a0<\/span><\/p><p>\u00a0<\/p><p><span data-contrast=\"auto\">(4.1) Comply with the Personal Data Protection Law related to the processing of Personal Data of the Data Controller.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13,&quot;335559991&quot;:540}\">\u00a0<\/span><\/p><p>\u00a0<\/p><p><span data-contrast=\"auto\">(4.2) Process Personal Data only as specified in writing by the Data Controller.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13,&quot;335559991&quot;:540}\">\u00a0<\/span><\/p><p>\u00a0<\/p><p><span data-contrast=\"auto\">(4.3) Ensure that the person authorized to Process Personal Data shall keep such Personal Data confidential or take legal action as appropriate<\/span><span data-contrast=\"auto\">.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13,&quot;335559991&quot;:540}\">\u00a0<\/span><\/p><p>\u00a0<\/p><p><span data-contrast=\"auto\">(4.4) Comply with the Personal Data security measures under the Personal Data Protection Law by providing Personal Data security measures covering administrative safeguards, technical safeguards and physical safeguards to ensure that the level of security is appropriate to the potential risks to the rights and freedoms of individuals, and such measures are in accordance with Section 40 (2) of the Personal Data Protection Law of Thailand.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13,&quot;335559991&quot;:540}\">\u00a0<\/span><\/p><p>\u00a0<\/p><p><span data-contrast=\"auto\">(4.5) Do not subcontract any work related to the processing of Personal Data of the Data Controller, whether in whole or in part, to any other<\/span><span data-contrast=\"auto\">\u00a0<\/span><span data-contrast=\"auto\">Data\u00a0Processor, unless the\u00a0Data\u00a0Controller has\u00a0provided\u00a0written consent.\u00a0Zortout\u00a0shall remain responsible for such subcontracted work and shall ensure that the subcontracted\u00a0Data\u00a0Processor\u00a0complies with\u00a0this\u00a0Agreement\u00a0and the Personal Data Protection\u00a0Law. The\u00a0Data Controller\u00a0agrees and acknowledges that\u00a0Zortout\u00a0stores data, including\u00a0Personal\u00a0Data of the\u00a0Data\u00a0Controller, on the Microsoft Azure cloud in Singapore.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13,&quot;335559991&quot;:540}\">\u00a0<\/span><\/p><p>\u00a0<\/p><p><span data-contrast=\"auto\">(4.6) Support the Data Controller to the fullest extent possible by using appropriate technical and organizational measures to enable the Data Controller to perform its duties in responding to requests to exercise the rights of Data Subject as required by Personal Data Protection Law<\/span><span data-contrast=\"auto\">.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13,&quot;335559991&quot;:540}\">\u00a0<\/span><\/p><p>\u00a0<\/p><p><span data-contrast=\"auto\">(4.7) Zortout shall immediately notify the Data Controller of any incident of data leakage, breach, unauthorized access, use or alteration of Personal Data received from the Data Controller.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13,&quot;335559991&quot;:540}\">\u00a0<\/span><\/p><p>\u00a0<\/p><p><span data-contrast=\"auto\">(4.8) Where the Data Controller deems appropriate, Zortout shall delete or return all Personal Data to the Data Controller after the processing of the Personal Data has ended, including deleting all existing copies of the data, unless the law requires the continued retention of such Personal Data.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13,&quot;335559991&quot;:540}\">\u00a0<\/span><\/p><p>\u00a0<\/p><p><span data-contrast=\"auto\">(4.9) Upon request of the Data Controller, Zortout shall provide the necessary information to enable the Data Controller to verify compliance with the Personal Data Protection Law and to enable the Data Controller or the Data Controller&#8217;s authorized representative to conduct an audit of the performance.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13,&quot;335559991&quot;:540}\">\u00a0<\/span><\/p><p><span data-contrast=\"auto\">(4.10) <\/span><span data-contrast=\"auto\">Protect and indemnify the Data Controller against any loss, damages and expenses incurred by the Data Controller resulting from any breach of the Personal Data Protection Law or any breach of this Agreement by Zortout<\/span><span data-contrast=\"auto\">.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13,&quot;335559991&quot;:630}\">\u00a0<\/span><\/p><p>\u00a0<\/p><p><span data-contrast=\"auto\">(4.11) Not transfer or consent to the transfer of data abroad without the prior written consent of the Data Controller, and Zortout will ensure that such Personal Data will be adequately protected to achieve the purpose of providing the services and under the Agreement<\/span><span data-contrast=\"auto\">.\u00a0<\/span><span data-contrast=\"auto\">The Data Controller agrees and acknowledges that\u00a0Zortout\u00a0maintains the\u00a0data, including the Data Controller&#8217;s Personal Data, which is transferred to Microsoft Azure cloud storage in Singapore.<\/span><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13,&quot;335559991&quot;:630}\">\u00a0<\/span><\/p><p>\u00a0<\/p><p><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13}\">\u00a0<\/span><\/p><p><b><span data-contrast=\"auto\">Section 5. General\u00a0Terms<\/span><\/b><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13}\">\u00a0<\/span><\/p><p>\u00a0<\/p><p><strong>1. Confidentiality\u00a0<\/strong><\/p><p><span data-contrast=\"auto\">Both parties agree to keep this Agreement and any information received from the other party under this Agreement (\u201cConfidential Information\u201d) confidential and shall not use or disclose this Confidential Information without the prior written consent of the other party, except where disclosure is required by law and\/or is publicly available.<\/span><\/p><p><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13}\">\u00a0<\/span><\/p><p><strong>2. Notification\u00a0<\/strong><\/p><p><span data-contrast=\"auto\">All notices and communications under this Agreement shall be in writing and shall be given by email or by\u00a0postal\u00a0mail\u00a0as\u00a0specified in this Agreement. Enforcement of the\u00a0Agreement<\/span><\/b><span data-ccp-props=\"{&quot;335551550&quot;:13,&quot;335551620&quot;:13}\">\u00a0<\/span><\/p><p>\u00a0<\/p><p><span data-contrast=\"auto\">This Agreement shall take effect from the date of signatures\u00a0by both parties and shall be\u00a0deemed\u00a0an integral\u00a0part of the\u00a0Master Agreement<\/span><span data-contrast=\"auto\">.\u00a0<\/span><span data-contrast=\"auto\">Zortout&#8217;s<\/span><span data-contrast=\"auto\">\u00a0<\/span><span data-contrast=\"auto\">obligations and liabilities in performing this Agreement shall\u00a0be\u00a0terminated\u00a0upon the date on which\u00a0Zortout\u00a0and the Data Controller agree to\u00a0terminate\u00a0the\u00a0Master Agreement.
